1. Services

1.1 Code Inclusive provides a range of services including, but not limited to:

• Web-based development and web design
• E-commerce solutions
• Artificial intelligence solutions
• Systems management and server setup/maintenance
• Search engine optimisation (SEO)
• Marketing, copywriting, and online visibility enhancement
• Technical support

1.2 We undertake projects selectively, ensuring we can deliver measurable results. If a project requirement falls outside our expertise, we will advise you honestly.

1.3 Service specifications, timelines, and deliverables will be set out in a separate proposal, quotation, or agreement (“Project Scope”).

2. Quotations and Acceptance

2.1 All quotations are valid for 30 days unless otherwise stated.

2.2 Acceptance of a quotation must be confirmed in writing via email or signed agreement. A project commences only after formal acceptance.

2.3 Code Inclusive reserves the right to decline any project or proposal at our discretion.

3. Fees and Payment

3.1 Fees are as stated in the Project Scope and exclude VAT unless otherwise specified.

3.2 Payment terms:

• 50% deposit due on acceptance of quotation (unless otherwise agreed)
• Remaining balance payable upon project completion or as agreed in milestones

3.3 Late payments may incur interest at the statutory rate plus 2% per month on overdue amounts.

3.4 All additional work outside the agreed Project Scope will be billed separately.

4. Client Responsibilities

4.1 You must provide all necessary information, access, and materials required for the project in a timely manner.

4.2 Delays caused by your failure to provide requested information or approvals may affect timelines.

4.3 You are responsible for ensuring you have the right to use any content, images, or data provided to us.

5. Project Timelines and Delivery

5.1 Timelines are estimates and dependent on timely client cooperation and project complexity.

5.2 We are not liable for delays caused by third parties, technical issues beyond our control, or your failure to provide materials or approvals.

6. Intellectual Property

6.1 Code Inclusive retains ownership of all intellectual property created prior to or outside of the Project Scope.

6.2 Upon full payment, you are granted a non-exclusive, perpetual licence to use deliverables for your intended purpose.

6.3 We reserve the right to showcase completed work in our portfolio, unless you request otherwise in writing.

7. Confidentiality

7.1 Both parties agree to keep confidential information private and not disclose it to third parties, except as required by law.

7.2 Confidential information includes, but is not limited to, business data, technical materials, trade secrets, and project documentation.

8. Warranties and Liability

8.1 We warrant that services will be performed with reasonable skill and care.

8.2 Except as expressly stated, we make no other warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose.

8.3 Our liability for any claim arising from our services is limited to the fees paid for the specific project.

8.4 We are not liable for indirect, incidental, or consequential losses, including loss of profits, revenue, or business opportunities.

9. Termination

9.1 Either party may terminate the agreement by providing written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days.

9.2 Upon termination, you shall pay for all work completed and expenses incurred up to the termination date.

10. Data Protection

10.1 We comply with the UK Data Protection Act 2018 and GDPR.

10.2 Personal data collected during the project will be used solely for the purpose of delivering our services unless otherwise agreed in writing.

11. Governing Law

11.1 These Terms are governed by the laws of England and Wales.

11.2 Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

12.1 We may update these Terms from time to time.

12.2 The latest version will be available on our website or provided on request. Continued use of our services constitutes acceptance of the updated Terms.
